TERMS AND CONDITIONS OF SERVICE

These Terms and Conditions of Service ("Terms," "Agreement," or "Regulations") constitute a legally binding contract between you, the user ("User," "you," or "your"), and Zenbuy S.R.L. ("Zenbuy," "we," "us," or "our").

The website, located at https://zenbuysrl.org/ (the "Platform" or the "Site"), is owned and administered by Zenbuy S.R.L.

By accessing, browsing, or utilizing the Platform in any manner, you acknowledge that you have read, understood, and unconditionally agree to be bound by these Terms, as well as our Privacy Policy and any other operational guidelines published on the Site.

If you disagree with any part of these Terms, you must immediately cease all use of the Platform.

We reserve the unilateral right to revise, update, or replace any part of these Terms at any time without prior formal notice. Any changes will be announced and published directly on the Platform.

It is your exclusive responsibility to review these Terms periodically for changes. Your continued use of the Platform following the publication of any changes constitutes your definitive acceptance of the revised Terms and Conditions.

4.1. Ownership. 4.2. Prohibition. You are strictly prohibited from copying, reproducing, distributing, modifying, transmitting, displaying, or otherwise exploiting any IP Assets for any purpose other than your authorized use of the Platform, unless Zenbuy has granted you explicit written permission to do so.

5.1. Lawful Use. You warrant and represent that your use of the Platform shall be solely for lawful purposes and in accordance with these Terms.

5.2. Prohibited Activities. You shall not engage in, or attempt to engage in, the following activities:

• Submitting or posting false, misleading, illegal, defamatory, or unsolicited content (including "spam").
• Impersonating any person or entity, or otherwise using a false identity.
• Attempting to gain unauthorized access to any restricted sections of the Platform, servers, or networks connected to the Platform.
• Interfering with, disrupting, or imposing an unreasonable load on the Platform’s operation or functionality.
• Utilizing any automated tools (bots, scrapers, etc.) to access the Platform without our prior written consent.

6.1. Availability. We endeavor to maintain the Platform as fully operational, accessible, and secure. However, we do not guarantee uninterrupted, error-free, or fully secure operation. Zenbuy shall not be liable for any temporary unavailability, technical failures, or data loss caused by factors beyond our reasonable control (e.g., system maintenance, security breaches, or external malicious components).

6.2. User Data. To enable effective service provision, the Platform relies on the submission of accurate, complete, and current information by the User. You bear sole responsibility for the accuracy of all data provided to Zenbuy.

The Platform may feature links leading to external websites or resources controlled by third parties. Similarly, third-party sites may link to our Platform. Zenbuy has no control over these external resources, their content, or their compliance with applicable laws. We explicitly disclaim any responsibility or liability for the content, privacy practices, or functionality of any third-party websites. Accessing any external link is done solely at the User's own risk.

8.1. Use at Own Risk. Your use of the Platform and its content is undertaken entirely at your own risk.

8.2. Disclaimer. The Platform and its content are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied.

8.3. Limitation. To the maximum extent permitted by Romanian law, Zenbuy S.R.L. and its directors, officers, employees, or agents shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages (including, but not limited to, loss of profits, loss of data, or business interruption) arising from or connected with:

• The use or inability to use the Platform.
• Any reliance placed by you on any information obtained from the Platform.
• Unauthorized access to or alteration of your transmissions or data.

You agree to indemnify, defend, and hold harmless Zenbuy S.R.L., its affiliates, officers, directors, agents, and employees from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable legal fees and costs, arising out of or in any way connected with your violation of these Terms or your use of the Platform.

Zenbuy reserves the right, in its sole discretion and without notice or liability, to suspend, limit, or terminate your access to all or any part of the Platform for any reason, including, without limitation, a breach of these Terms.

11.1. Governing Law. These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of Romania, without giving effect to any choice or conflict of law provision or rule.

11.2. Amicable Resolution (Complaints).We are committed to resolving any disagreements through sincere dialogue. Any formal complaint must be submitted in writing to the Official Contact Email (connect@zenbuysrl.org) within fourteen (14) calendar days of the event giving rise to the complaint. We expect Users to pursue an amicable resolution prior to initiating any formal legal proceedings.

11.3. Jurisdiction. Any legal action or proceeding arising under these Terms shall be brought exclusively in the competent courts of Bucharest, Romania.
